Does the Size of Your HOA Board of Directors Matter?

An HOAleader.com reader in a four-unit association wants to know
how many board members his HOA should have. In this week's tip,
we start the discussion of determining just how big your board
should be.

Some states give HOAs a head start in determining how many board
members they should have. "In Florida, the minimum legal
requirement is three no matter what size the association,"
explains Ben Solomon, an attorney and founder of the Association
Law Group in Miami Beach, Fla., who advises more than 500
associations and also represents developers through his second
law firm, Solomon & Furshman LLP. "From there, the decision
varies usually on the size of the property and how much desire
there is for the board to expand and have more participation
than less. But a standard clause in many bylaws I draft is that
there should be no less than three but no more than nine."

Solomon says he's seen boards with more than nine members, but
they're the exception. "The average board size in Florida is
three to five members," he says. "Usually bylaws allow for
expansion of the board, and that's usually done by the board,
not by member vote."

Whatever number the board opts to have, says Lisa A. Magill, a
shareholder and association attorney at Becker & Poliakoff PA
in Fort Lauderdale, Fla., it should be an odd number to prevent
a stalemate.

There are other issues to consider. "You also want to think
about participation when it comes to the practicality of meeting
your quorum," says Solomon. "A bigger board may be OK, but if
you have a nine-person board, you'll always need five people
there at every meeting to meet your quorum. Are you going to be
able to get that?"
